Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the MineralScout.ai website and services (collectively, the “Service”) provided by MineralScout.ai (“MineralScout,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

2. Acceptable use

You agree not to:

  • Use the Service in violation of any applicable law or regulation.
  • Reverse engineer, decompile, scrape, or attempt to extract the source code or underlying data of the Service, except to the extent expressly permitted by law.
  • Resell, sublicense, or otherwise commercialize the Service or its outputs without our prior written consent.
  • Interfere with or disrupt the integrity, security, or performance of the Service.
  • Use the Service to send unsolicited communications, harass any individual, or engage in any unlawful contact based on data obtained through the Service.

3. Subscriptions and billing

Access to paid features of the Service is subject to a separate order form, statement of work, or subscription agreement between you and MineralScout. Fees, payment terms, and renewal terms are described in that agreement. Unless otherwise stated, fees are non-refundable.

4. Intellectual property

The Service, including all software, content, designs, and trademarks, is owned by MineralScout or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.

5. Customer data

You retain all rights to data you submit to the Service (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service. You are responsible for ensuring you have the rights necessary to submit Customer Data to the Service and for the lawful use of any contact information, public records, or third-party data accessed through the Service.

6. No warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any data produced by the Service is complete or accurate. Outputs are intended as research aids, not as a substitute for professional legal, title, or financial advice.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINERALSCOUT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF NO AMOUNT WAS PAID.

8. Indemnification

You agree to indemnify and hold harmless MineralScout, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your Customer Data, or your violation of these Terms.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service, with or without notice, if we believe you have violated these Terms or to protect the Service or other users. Sections that by their nature should survive termination will survive.

10. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of those courts.

11. Changes to these Terms

We may modify these Terms from time to time. When we do, we will revise the “Last updated” date above. Material changes will be communicated through the Service or by email. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance.
